1. Why is AFPCV started?

The aim is to effectively represent the shareholders’ interests in that the FPC company is managed in a

constructive and financially beneficial manner, maximizing the shareholders’ returns.

2. How can the associations support shareholders?

Through collective action within the association, minority shareholders can form a significant group that larger

shareholders cannot overlook when considering the members’ interests.

3. Who can become a member of AFPCV?

Everyone who has shares in the company FPC, regardless of whether you have a few shares or has a larger
shareholding. Shareholding must be substantiated e.g., an screenshot from your securities account. All holdings
are reconciled against the share register at Euroclear by AFPCV.
In addition to being a shareholder, it is important to recognize the value of being a member of the association and
the significance of having an individual appointed by the association’s board to represent the members’ interests
in accordance with point 1.

4. I don’t have that many shares, can I get a discount
on your membership fee? Is the fee paid every year?

-It is the same price for everyone, regardless of whether you have a few shares or many shares.
-The membership fee is paid annually but with one exception. Those who pay the membership fee during 2023 will
automatically receive membership for 2024 at no additional cost. After that, the fee is paid once a year regardless
of the time its paid during the year.

5. Who decides in AFPCV what to be discussed with
the board of FPC?

This is done by the board of AFPCV. The board is appointed according to the applicable regulations for non-profit
associations.

6. Is AFPCV a company?

No. AFPCV is a non-profit association registered with the Swedish Tax Agency and has an organization number.

7. Why does it cost to be a member of AFPCV

The association incurs administrative expenses, such as auditor fees, financial system costs, bank charges, web
hosting maintenance, domain name expenses, membership register, bookkeeping and similar items.
Administrative work, such as bookkeeping and verification of holdings against the share register printed by
Euroclear is taken care of by an external party.

8. Do members of the AFPCV board receive any
payment for their efforts?

No, they are not renumerated.

9. Why do I have to hand in a power of attorney

With proxies from multiple shareholders, the association’s board can represent a group of shareholders, a
collective, and thereby serve as an important stakeholder and dialogue partner. All with the purpose of promoting

10. Representing minority shareholders, does it bring
any strengths?

According to the Swedish Companies Act (Aktiebolagslagen) and the Swedish Corporate Governance Code (Koden
för Bolagsstyrning), there are several strengths in representing minority shareholders:
-Influence and Voice:
Representing minority shareholders allows them to have a say in the decision-making processes of the company. It
gives them a platform to express their opinions, concerns, and interests.
-Protection of Rights: Minority shareholder representation helps safeguard the rights and interests of minority
shareholders. It ensures that their rights are respected and that they are treated fairly and equitably.
-Board Representation: Through minority shareholder representation, individuals can potentially secure seats on
the company’s board of directors. This enables them to actively participate in governance, oversight, and strategic
decision-making.
-Information and Transparency:
Minority shareholder representation promotes transparency and access to information. It helps ensure that
relevant information is shared with all shareholders, including minority shareholders, allowing them to make
informed decisions.
-Accountability and Checks:
Minority shareholder representation provides a mechanism for holding the company’s management and board
accountable for their actions. It enhances corporate governance by introducing checks and balances to prevent
potential abuses of power.
Overall, the representation of minority shareholders strengthens corporate governance practices, fosters
transparency, and protects the rights and interests of all shareholders in accordance with Swedish laws and
corporate governance guidelines.

11. Will AFPCV have the same position as other large
shareholders or majority shareholders in FPC?

The position or general information from AFPCV is a joint decision made by the AFPCV board and is not depending
on for instance other major shareholders. The shareholder‘s association act independently.

12. If I disagree with a position made by AFPCV, do I
need to vote in the same way as AFPCV?

No, if you do not agree with the recommendation given by AFPCV, you can always withdraw your power of
attorney. Send that information to info@foreningfpc.se. How to do this, see point 13.

13., How can I withdraw my power of attorney

Send an email AFPCV confirms that your power of attorney has been cancelled. See point 12.

14. What if AFPC makes a surplus?

The surplus is balanced to a new account. If a situation possibly requires it, the surplus may be used for external

legal/consultative expenses.

15. What happens if the association is closed?

Surpluses are distributed equally among members.

Any potential doubt or uncertainty to the association’s purpose, statutes, and future work, please consider if a

potential membership is right for you. Perhaps it’s better to wait or refrain.

19. Can I see AFPCV’s info and opinions on social
media, ie Facebook?

Yes, all the members are invited to a facebook group where members only can participate in discussions and read about our dialogues with the company.

20. Will AFPCV have a representative for members of
AFPCV who submitted a power of attorney? A
representative that for instance participate at AGMs.

Yes, and that representative is appointed by the board of AFPCV.

21. Will the association be able to influence the board
of FPC?

FPC’s board works for the good of the company and we look forward to having a constructive dialogue with
representatives of the board.

22. What happens if a shareholder sells their holdings
in FPC?

When the entire holding is sold, membership in the association automatically ceases. The association has no
obligation to refund the paid membership fee regardless of whether it concerns the sale of shares or an incorrectly
paid membership fee. The sale of shares must be actively communicated to AFPCV by email to the
info@foreningfpc.se.
